Terms of Service
Effective date: October 30, 2026 · Last updated: October 30, 2026
IMPORTANT NOTICE: These Terms contain a binding arbitration agreement and class action waiver in Section 12. Disputes will be resolved by individual arbitration, not in court or by a jury, except as described there. Please read it carefully.
These Terms of Service (“Terms”) are an agreement between you (the business subscribing, “you” or “Client”) and Starworthy, a sole proprietorship owned by Aiden Benham in Bradenton, Florida (“Starworthy,” “we,” “us”). By subscribing to or using Starworthy or starworthy.co, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind it.
1. The service
Starworthy is a software subscription that sends automated text messages (SMS) to your customers after their appointments or visits, asking them to leave a Google review, using a link you provide. With the optional Missed-Call Text-Back add-on, Starworthy also automatically texts people who call your business phone when the call is missed. We handle setup and mobile carrier registration with information you provide. Features may change over time as we improve the service.
2. Plans and billing
- Starworthy: $149 per month.
- Starworthy + Missed-Call Text-Back: $199 per month.
- Subscriptions are billed monthly in advance through Stripe and renew automatically each month until cancelled.
- Prices are in U.S. dollars and do not include any applicable taxes. Plan limits (such as the number of review requests per month) are described on our website at the time you subscribe.
- If a payment fails, we may pause the service until the balance is paid.
- We may change prices with at least 30 days’ notice by email. The new price applies from your next billing period after the notice.
3. Cancellation and refunds
There is no contract. You may cancel anytime by emailing info@starworthy.co from your account email. Cancellation takes effect at the end of your current billing period, and the service will keep running until then. We do not provide refunds or credits for partial months or unused time, except where required by law. We may suspend or end your service if you break these Terms, especially the acceptable use rules below.
4. Your responsibilities
- Provide accurate business information, including what we need for carrier texting registration, and keep it up to date.
- Consent: you are responsible for making sure every person you have us text has given your business permission to receive text messages from you (for example, by providing their mobile number when booking and agreeing to receive texts). You must keep records of that consent and share them with us or carriers on request.
- Provide only customer information you are legally allowed to share with us.
- Comply with all laws that apply to your business and messaging, including the Telephone Consumer Protection Act (TCPA), the Florida Telephone Solicitation Act, CAN-SPAM where relevant, carrier and CTIA guidelines, and FTC rules.
5. Acceptable use
You agree not to use Starworthy to:
- Send spam, marketing blasts, or messages to anyone who has not given consent or who has opted out.
- Send messages that are illegal, misleading, harassing, hateful, or that involve prohibited content (such as cannabis, firearms, gambling, high-risk financial offers or adult content).
- Gate or filter reviews. Starworthy asks all of your customers for a review. You may not use the service to steer only happy customers to Google while discouraging or diverting unhappy ones.
- Offer payments, discounts or gifts in exchange for reviews, or ask for positive reviews only.
- Post, buy or request fake reviews, or write reviews of your own business, including through employees or family members.
- Interfere with, reverse engineer or misuse the service or our providers’ systems.
These rules follow Google’s review policies and the FTC’s rule on consumer reviews and testimonials. We may suspend messaging immediately if we believe a violation is occurring or if a carrier or provider requires it.
6. No guarantee of results
Reviews are written by your customers, and Google decides which reviews are published, filtered or removed. We do not guarantee any number of reviews, star rating, ranking or business result. Text delivery depends on mobile carriers and can be delayed or blocked for reasons outside our control.
7. Third-party services
Starworthy relies on third parties, including Stripe (payments), Twilio (text messaging), Cloudflare (hosting), Google, and your booking tool. Their services are governed by their own terms, and we are not responsible for their outages, changes or decisions (such as carrier registration approvals or Google review moderation).
8. Your data
You own your business information and your customer data. You let us use it only to provide the service, as described in our Privacy Policy. We act as your service provider and will not sell your data or use your customers’ information for our own marketing.
9. Indemnification
You agree to defend and hold harmless Starworthy and its owner from claims, fines, penalties and costs (including reasonable attorneys’ fees) arising from your customer data, your lack of consent from message recipients, your violation of these Terms, or your violation of any law.
10. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the service will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent allowed by law, Starworthy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim related to the service is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.
12. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND STARWORTHY TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
12.1 Informal resolution first
Before starting arbitration, the party with a dispute must send the other a written notice describing the dispute and the relief requested. Notices to Starworthy go to info@starworthy.co; notices to you go to the email address on your account. Both parties will try in good faith to resolve the dispute informally for at least 30 days after the notice is received. Either party may then begin arbitration if the dispute is not resolved.
12.2 Agreement to arbitrate
Except as provided in Sections 12.5 and 12.6, any dispute, claim or controversy arising out of or relating to these Terms or the service, including questions about the existence, scope, validity or enforceability of this arbitration agreement, will be resolved by final and binding arbitration.
12.3 Rules and location
The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect, available at adr.org, before a single arbitrator. The seat of arbitration will be Manatee County, Florida. Hearings may be held by video conference or telephone, or decided on written submissions, if the parties agree or the arbitrator so orders. Fees are allocated as provided in the AAA rules, unless the arbitrator decides otherwise.
12.4 Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).
12.5 Small claims exception
Either party may bring an individual claim in small claims court instead of arbitration, as long as the claim is within that court’s jurisdictional limits and stays in small claims court on an individual (not class or representative) basis.
12.6 Injunctive relief exception
Either party may seek temporary, preliminary or permanent injunctive relief in a court of competent jurisdiction to stop the infringement or misuse of intellectual property or the unauthorized access to or use of the service, without first going through informal resolution or arbitration.
12.7 Class action and jury trial waiver
To the fullest extent allowed by law, you and Starworthy agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one party’s claims or preside over any class or representative proceeding. You and Starworthy each waive the right to a trial by jury.
12.8 Award
The arbitrator’s award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
12.9 Severability of this section
If the class action waiver in Section 12.7 is found unenforceable as to a particular claim, then that claim (and only that claim) will be severed from the arbitration and decided by a court, while the remaining claims proceed in arbitration. If any other part of this Section 12 is found unenforceable, the rest of this Section 12 remains in effect. Any court proceeding permitted under this Section 12 will take place in the state or federal courts located in Manatee County, Florida.
13. Changes to these Terms
We may update these Terms from time to time. We will post the new version here and update the “Last updated” date, and we will email active clients about material changes. Continuing to use the service after changes take effect means you accept them.
14. General
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. These Terms, together with our Privacy Policy and SMS Terms, are the entire agreement between us about the service.
